1Acceptance of Terms
These Terms & Conditions constitute a legally binding agreement between you and Web Centrix Technologies, a business unit of Hexcat Systems Private Limited, having its principal operational office at:
By commissioning our services, signing a proposal or Statement of Work (SOW), paying an advance deposit, or engaging with our digital deliverables, you acknowledge that you have read, understood, and agreed to be bound by these terms.
2Services & Statements of Work
Web Centrix Technologies provides professional services across multiple digital domains:
Specific deliverables, features, and milestone timelines for each project are governed by the dedicated Statement of Work (SOW) or proposal mutually agreed upon before commencement.
3Project Timelines & Collaboration
High-quality digital delivery requires active partnership. To keep projects strictly on schedule:
- Timely Feedback: The Client agrees to provide necessary brand assets, copywriting approvals, and design feedback within 3 to 5 business days of request.
- Scope Changes: Additional feature requests not specified in the original SOW will be scoped separately as a Change Request with upfront timeline and cost estimates.
- Project Kickoff: Typical kickoff occurs within 2 to 5 business days following requirement sign-off and receipt of the initial milestone deposit.
4Pricing, Payments & Taxes
We believe in total financial transparency. All project quotes are clear with zero hidden charges:
- Milestone Schedules: Fixed-price projects are split into clear milestone stages (e.g. 40% initial deposit, 30% mid-project sprint review, 30% final sign-off prior to production deployment).
- Retainers & Recurring Services: SEO, social media, and digital marketing retainers are invoiced at the beginning of each billing month with clear deliverables.
- Taxation: Invoices issued to Indian entities are subject to applicable GST (Goods and Services Tax) as prescribed by the Government of India.
- Payment Methods: We accept direct NEFT/RTGS/IMPS bank transfers, UPI, and verified corporate credit/debit card transfers.
5Intellectual Property Rights
Full Client Ownership Upon Final Settlement:
Upon receipt of full and final payment for the project, all rights, title, and ownership in custom source code, UI designs, media assets, and domain configurations developed specifically for the Client shall transfer 100% to the Client.
Open-source libraries, third-party software, or standard frameworks (e.g. Next.js, React, Tailwind CSS) used in development remain subject to their respective open-source licenses (such as MIT or Apache 2.0).
6Quality Warranty & Post-Launch Support
We stand firmly behind the quality of our engineering and digital creative work:
All custom website and mobile application builds include a complimentary 30-day warranty following production launch to fix any functional bugs or discrepancies from the agreed scope of work at zero additional charge.
Ongoing maintenance, monthly feature updates, security patches, and cloud server administration are provided through our flexible monthly retainer plans.
7Third-Party Platforms & External APIs
Modern digital ecosystems rely on third-party services (such as AWS, Google Cloud, Razorpay, Stripe, Meta Ads, and OpenAI). While we implement integrations using industry best practices:
- WebCentrix is not liable for service downtimes, policy adjustments, or API deprecations enforced by third-party platforms.
- Direct advertising ad spend is paid directly by the Client to Google or Meta ad networks; management fees billed by WebCentrix cover campaign strategy, creative assets, optimization, and reporting.
8Limitation of Liability
Fair Liability Cap:
To the maximum extent permitted by applicable law, Web Centrix Technologies shall not be liable for indirect, incidental, or consequential damages (such as loss of profits, data corruption, or business interruption). Our total aggregate liability arising under any project agreement shall not exceed the actual fees paid by the Client to the Company for the specific milestone in dispute.
9Governing Law & Dispute Resolution
These Terms and any project contracts entered into with the Company shall be governed by and construed in accordance with the laws of India.
In the rare event of a dispute, both parties commit to attempting good-faith mutual discussions for at least 30 business days. Should formal proceedings become necessary, the courts located in Greater Noida / Gautam Buddha Nagar, Uttar Pradesh, India shall have exclusive jurisdiction.
